WIN24 Limited shall provide the Services in accordance with the following: References to “WIN24”, “we”, “us” and “our” are references to WIN24 Limited. References to “you” and “your” are references to members to the Services or customers that express an interest in the Services as appropriate and should be read in context.

1. General
These terms set out the relationship between you and us. By subscribing to the Services you agree to these terms. Our Privacy Policy also forms part of these terms and can be found on our website at www.win24.co.uk.

2. The Services
2.1 We provide a research and entry service for you, which includes research into, selection of, and submitting entries on your behalf to carefully selected free prize draws and competitions (Services).
2.2 If for some reason the Services are significantly changed or suspended, we will send you a letter informing you of the same. You may, within 14 days of receiving this letter, cancel your membership by providing us with at least 14 days’ written notice. Our letter will inform you if you have the right to cancel your membership.

3. Membership process
3.1 You must be 18 years old or over and be a UK resident to subscribe and you will need to follow any instructions provided by us. We can refuse membership requests at our discretion.
3.2 When you subscribe to the Services we will ask you for certain information that we require to complete your entries. You must provide us with the correct information and let us know if this information changes. We shall not be responsible if you provide us with incorrect information or fail to let us know of any changes.
3.3 You are required to pay the membership fees referred to in Clause 5.
3.4 We will inform you of your membership period, your membership fee, your method of payment and these terms via a welcome letter after we have received your request to join the Service.

4. Contract
A contract between you and us, will be formed and binding on your receipt of our welcome letter. The contract includes these terms and all other terms and conditions contained in any of our instructions. You can cancel your contract for any reason within 14 working days of your receipt of our welcome letter.

5. Prices, price changes, payment
5.1 The current price list for the Services may be viewed on our website. We may amend the price list from time to time and will let you know 30 days before any price change.
5.2 If we cannot collect any of your membership payments, we may contact you to ask you to ensure the payment has been made. If we still have not received your payment we will invoice you for the entire remaining membership period, which you will need to pay as set out in the invoice.
5.3 In the event that Win24 receives no response regarding the non payment, we reserve the right to employ a debt collection agency to take over the debt. As the customer you will be liable to pay any late payment fees or interest associated with this process.

6. Prize draws, competitions and lotteries
6.1 By subscribing to the Services you authorise us to act on your behalf to enter you into free prize draws and/or competitions. We will never enter you into prize draws or competitions that require payment to enter.
6.2 You acknowledge that the prize draws and competitions are organised by third parties and not by us. You also acknowledge that the prize draws and competitions have their own terms and conditions and that you need to comply fully with these terms and conditions for your entry to be valid.
6.3 We will enter you into the total number of prize draws and competitions stated in your welcome letter. If we do not, we will credit your bank account or credit card for one month’s membership.
6.4 We will solely decide which free prize draws and competitions including those requiring an email address you are entered into, we cannot accept requests. A list of the prize draws and competitions that have been entered during the relevant month are available via our website.
6.5 If you win a prize, you agree that we may publish your first name, initial of your last name, county and your prize on the website and/or in our newsletters.

7. Termination and cancellation of the Services
7.1 Further to Clause 4, you may cancel your membership for any reason, providing you send us a cancellation letter before the 15th day of the last month of your membership (if you have subscribed for a fixed period) or at least 5 working days before the end of the month (if you have an open-end membership). The cancellation will only take effect at the end of your membership period. To cancel you can notify us by post or by e-mail (see Clause 13), your letter or e-mail must include your address and customer number. If you do not correctly let us know that you wish to cancel your membership, your membership will continue as an open-ended membership.
7.2 We have the right to cancel your membership immediately and without notice if you are more than one month late in paying fixed-term membership payments. We also have the right to invoice you for the entire remaining membership period in accordance with Clause 5.2.
7.3 If your membership is cancelled all of our obligations will immediately come to an end.

8. Liability
8.1 We (and anyone associated with us or the Services) will not be liable for the delivery, use or misuse of the prizes offered by any third party, or for any other costs associated with the prizes, or for the selection or notification of winners. All queries or issues concerning the prizes, the prize draws or competitions generally should be taken up directly with the relevant organiser.
8.2 The Services and our website are provided “as is” and we do not provide any warranties of any kind.
8.3 You are responsible for confirming if we have received your e-mails. We are not responsible for any errors in information you send to us, any failure by you to receive information we send to you, or any failure by any prize draw or competition organiser to receive information we send to them.
8.4 We work hard to ensure that your personal data is kept safe but we will not be liable for any unauthorised use of your personal data by a third party prize draw or competition organisers.
8.5 We will not be liable for any delay or failure to provide the Services if this is caused by an event which is beyond our control such as: strikes, lock-outs, riots, wars, terrorism, fires, explosions, storms, floods, earthquakes or delays caused by failure of power supplies or transport facilities, postal strikes or acts of, or failures to act by, our subcontractors. In such circumstances, we have the right to delay or suspend the Services and when the event has ended, to take a reasonable recovery time before restoring the Services.
8.6 You acknowledge that success in the prize draws and/or competitions is dependent on chance and that we cannot guarantee that you will win any prize/s. We will not be liable in the event that a competition question is answered incorrectly.
8.7 Nothing in these terms shall exclude or limit our liability for death or personal injury resulting from our negligence or our liability for fraudulent misrepresentation.
8.8 Our maximum aggregate liability (howsoever arising) to will not exceed the annual aggregate membership fee paid by you to us.

9. Data protection
9.1 We will only use your personal data as may be necessary so we can provide the Services and will only use your personal data in accordance with any consents you have given us. We will pass your data to our subcontractors and agents and to the free prize draw and competition organisers on terms designed to protect your data from misuse.
9.2 Subject to your consent, we may use your data to send you information about our own products and services. You may opt-out from receiving such information at any time by contacting us (see Clause 13).

10. Changes to the Terms and Conditions
We may change these terms from time to time and, if so, we will post a revised version of the terms on our website and will inform you of any significant changes. Otherwise any changes will be effective, and you will have accepted such changes, when they are posted on our website.

11. Website
11.1 All information and materials on our website are protected by copyright and other intellectual property rights. You may only access and use the materials for personal purposes. You will not copy, reproduce, distribute, publicly display or modify the materials at any time.
11.2 You may not use any of our logos or trade marks or other intellectual property rights without our permission.
11.3 Third-party websites linked to from our website are not under our control, and we are not responsible or liable for any content, opinions or materials available on such third-party websites. Your use of such websites is at your own risk and is subject to their separate terms and conditions (if any).
11.4 We will not be liable for any loss or damage (howsoever arising) out of or in connection with your use of our website or any inaccuracies, errors or omissions contained on our website.

12. Miscellaneous
These terms and the contract are subject to English law and the English courts shall have exclusive jurisdiction.
